Job Summary:
A transactional role supporting the complex deals within a geographic region: across a broad range of industries, service types, emerging technologies and offerings.

The Legal Services group provides and manages all legal advice and support to Accenture. Legal Services aims to give objective, focused, practical advice and solutions based on an understanding of the law and Accenture's business, which is essential in a competitive marketplace. The role is dynamic and demanding with opportunities to work on leading edge technology and service offerings. The Legal Services team works closely with each deal team to find ways to maximise revenue whilst managing risk as well as compliance with contractual obligations, policies and obligations at law.

Key Responsibilities:
As part of the Legal team you would lead the negotiations of and support a portfolio of complex deals within a geographic region across different industries and types of offering:
• Advises deal teams on shaping of the business opportunity within the transaction.
• Works with finance, solution and commercial teams to identify and manage issues across the transaction.
• Works with deal teams to develop effective negotiating strategies.
• Forms part of the negotiation team and leads the legal negotiations to conclude the contractual documents.
Identifies and manages the escalation of deviations from contracting policies for complex deals that s/he is leading:
• Supervises preparation of escalations to legal and business Leadership.
• Improves the speed to closure of deals by facilitating quick escalations and well-informed decisions.
• Prepares and provides briefings to the business approvers to ensure issues are addressed appropriately, key risks and mitigations are identified and, that there are clear recommendations and options.
Performs legal ‘QA’ role for lower value (under $10M) ‘transaction contracting’ deals and offshore legal teams:
• Advises transaction contracting team and offshore legal teams on legal issues.
• Serves as point of contact for helping prioritize and resolve issues and providing risk mitigations.
• Acts generally as advisor and counsel to the offshore and transaction contracting professionals on those deals.
Performs ‘legal account lead’ role for large clients
• Initial point of contact for client account team and contract management
• Maintains an overview of the account to help with consistency of approach
• Develops effective working relationships with client account lead, delivery leads, contract management and client’s lawyers
Advances the working relationship between Legal and the business and other functions (e.g., finance) to improve performance of the Legal Group:
• Participates in organising programs to help business teams to enhance their capabilities in deal shaping, issue identification and management, and negotiations.
• Assists with briefing business and finance leadership on risk profiles and mitigations, market trends and competitive positioning.
• Forms relationships within business and sales teams to improve communication, resourcing and deal pipeline management.
Assists with maintaining an information and know-how sharing network for contracting lawyers focused on complex transactions:
• Shares know-how and developments in key legal and risk issues, and deal approaches.
• Supports a community of practice for contracting lawyers on complex deals through participating in regular calls and briefings.
• Contributes to knowledge capital.
Works with Legal leadership and career counsellors to support people programs:
• Participates in development and delivery of training to facilitate development of skills by transaction contracting and offshore legal teams.
• Supports training for the business teams on key legal issues.

Metrics:
The Complex Contracting Counsel supports and assists with respect to contracting metrics being achieved in respect of the complex deals s/he leads, such as:
• Cost: Both as a percentage of overall revenues (a shared metric with the rest of the Legal Group) and achieving an optimal cost rate for legal services on particular transactions (achieving a cost-effective and efficient pyramid).
• Quality: Directly responsible for the quality of contracts on the complex deals he/she leads. This will be measured by sales team and leadership satisfaction metrics and measurably achieving balance between price, quality, and contract terms.
• Speed to Closure: take appropriate actions to ensure transactions are closed as quickly as possible (balanced with quality outcomes) and that appropriate measures are taken to work with leadership if there are significant delays in closure within Accenture’s control.
Size of deal portfolio:
• The complex deal portfolio will vary by geographic region but will generally be pursuits of $10M and above, estimated to be 70-100 complex deals per annum.

Education: Juris Doctorate (or local equivalent).
Work Experience:
• Minimum 5-7 years post-qualifying experience.
• Admitted to legal practice in Australia / licensed member of a Bar or local equivalent professional body.
• Deep experience in IT and/or relevant commercial transactions that demonstrates an increasing level of transactional responsibility and complexity.
• Previous experience in a law firm or in a fast-paced corporate legal/transaction group for an IT services vendor would be of assistance in performing this role.
• Understanding and experience in Australian Commonwealth and State government procurement

Work Requirements:
• Travel required, particularly within country. Must be available to support deals on a regional basis as required.
• Extensive overtime may be required to carry out duties and in particular during active negotiations.

Supervises:
• May or may not supervise less experienced Legal Counsel

Knowledge and Skill Requirements:
• Must have strong consulting, systems integration, and outsourcing experience working on complex transactions.
• Ability to adapt to rapidly changing services and offerings including identifying and managing new risks as they arise. Experience in mobile application, digital, website and cloud transactions would be a bonus.
• Demonstrated business/commercial acumen.
• Solutions orientated to assist to structure client transactions to be most advantageous from a legal and business perspective;
• Deal directly with client counsel and negotiating teams;
• Strong negotiation skills with a demonstrated ability to lead contract negotiations.
• Resilient under high pressure; able to balance between moving a deal forward and maintaining objectivity about the soundness of the deal and compliance with Accenture principles and standards.
• Help develop, and understand, risk mitigation strategies for contractual risks;
• Confidence in dealing with all levels of management
• Counsel, advise, and consult Accenture executives based on accurate interpretation of contract documents and the facts of a business opportunity
• Understanding of principles of finance, accounting and management relevant to a publicly listed company;
• Understanding of privacy, intellectual property and other recurring contractual issues as they apply to Accenture's commercial transactions;
• Oversee, counsel, guide, train and support other legal counsel, if required;
• Manage external legal support if required;
• Up to date with legal developments affecting Accenture, its clients, and the industries in which they operate;
• Ability to independently manage drafting, reviewing and negotiating transactional documents and correspondence on a range of transactions;
• Ability to work collaboratively as part of a broader team;
• Ability to present alternatives and propose solutions ("think outside the square");
• Excellent oral and written communication skills in English;
• Appreciation of diversity management and cultural awareness;
• Able to present innovative, original solutions.
• Strong research capability;
• Responsive and follows through on commitments.
• Strong time management, prioritization, and organizational skills.
